Terms and Conditions - Uruguay

This document establishes the General Terms and Conditions (hereinafter, "GTC") under which you (hereinafter, "the Driver") will use the Services of the Platform of MOVICAR S.A.S, located at Paseo Pasaje de las carretas 2580, 11300, Montevideo (hereinafter, "TripWip", both identified as the parties "the Parties"), to contact Owners who are looking to rent their vehicles published on the Platform.

1. Definitions

Driver: any individual, legal entity, or organization interested in renting a vehicle.

Owner: any individual, legal entity, or organization wishing to lease a vehicle they own.

Commercial Owner: any legal entity or organization wishing to lease a vehicle they own.

Platform: includes all computer tools made available to Drivers and Owners to use the Services that TripWip provides over the Internet in the "SaaS" (Software as a Service) model.

Services: all intermediary services provided by TripWip to Drivers and Owners to facilitate rental contracts of the Owner's vehicle(s), as described in this document.

Guarantee: the guarantee required from the Driver in accordance with clause 10 (Guarantee).

Insurance: the insurance policy that the Owner or Commercial Owner must contract in accordance with clause 11 (Insurance).

Personal Data: any type of information related to identified or identifiable individuals or legal entities considered as such by applicable regulations.

Intellectual Property: includes, without limitation, copyright and related rights, databases, inventions, trademarks, trade names, know-how, trade secrets, software, interface design, source code, object code, manuals, and any associated documentation.

Content: includes in the broadest sense photos and videos of the vehicle, publication descriptions, comments, interviews, and all other material, information, data, texts, graphics, video, messages, or similar materials.

2. Scope of Services

TripWip provides Owners, Commercial Owners, and Drivers with a Platform that allows the Owner to communicate with the Driver in order to rent vehicles within the national territory. TripWip is not the owner of the vehicles, does not possess them, nor offers them for rent. The Parties agree that TripWip only provides intermediary Services between Owners and Drivers, without being a party to or intervening in the execution of rentals for any purpose other than establishing some of the rules that must be accepted when choosing to use the Platform.

It is expressly prohibited to use vehicles rented through TripWip for passenger transport services through intermediary platforms or applications such as Uber, DiDi, InDrive, Cabify, or similar. Such use constitutes a violation of these Terms and Conditions and may result in rental cancellation, penalties, and/or exclusion from the platform. In the event of an incident, such use will not be covered by the contracted insurance, and the Driver will be fully responsible for all resulting damages.

Furthermore, vehicles manufactured in 2015 or earlier are excluded from any liability on the part of TripWip regarding coverage for accidents, damages, thefts, mechanical failures, or other risks associated with the use of the vehicle. All responsibility for the condition of the vehicle and any event occurring during the rental falls exclusively on the Owner/Host who has decided to offer that vehicle through the Platform, who expressly assumes the associated risks.

3. Conditions for Registration

To register as a Driver, it is required to be over 19 years of age, have legal capacity to contract, and hold a valid driver's license with at least one year of seniority. Foreign nationals must hold a valid international driver's license with at least one year of seniority, and are solely responsible for its authenticity and validity. To make payments, the Driver must be the holder of an internationally accepted credit or debit card (Stripe). If the Driver represents a legal entity, a RUT number will be required to issue the corresponding invoice for Services.

4. Account Creation

To use TripWip's services, the Driver must have a computer or smartphone with iOS or Android. After accessing the Platform and accepting these GTC, a user account must be created, requiring the following personal data: name, date of birth, identity document (and RUT if representing a legal entity), country of residence, city, address, email, mobile phone, a photo of both sides of their driver's license, a selfie holding their license, a video with biometric verification, and a password (hereinafter "the Data").

After submitting the Data, TripWip will have up to 72 hours to approve the request and notify the Driver, after which they may proceed to reserve a vehicle.

Drivers guarantee the truthfulness, validity, accuracy, authenticity, and currency of the Data provided to TripWip. TripWip may request additional information to verify the Data provided, and reserves the right to suspend or not approve an Account if the information cannot be confirmed, is false, inaccurate, or fraudulent, or if MOVICAR SAS considers it a high risk to the Platform.

To assess the risk associated with creating an Account, TripWip may consider additional information related to the financial and credit situation of the applicant, using databases, internal verifications, or other evaluation mechanisms.

5. Rental Price

The rental price is set by the Owner or Commercial Owner, who may choose to set it automatically according to supply and demand using AI models provided by the platform, or manually according to their own criteria.

6. Mileage and Fuel

The daily rental price includes a standard limit of 300 km per day. If unlimited mileage is not included and the 300 km daily limit is exceeded, the Driver will be charged an extra fee of $5 (five Uruguayan pesos) per kilometer.

In rentals that do not last for exact days, the included mileage limit will be calculated proportionally to the contracted time. For example, a 12-hour rental includes 150 km; a 6-hour rental includes 75 km, and so on.

The Host may offer unlimited mileage or a different limit and penalty for excess, provided this is detailed in the vehicle's listing.

The Owner or Commercial Owner agrees to deliver the vehicle with a full tank of fuel, and the Driver must return it in the same condition.

If the vehicle is not returned with a full tank, the Driver will be charged the following fees in favor of the Owner: tank below full but above ¾ – $500 UYU; below ¾ but above ½ – $1,500 UYU; below ½ – $2,000 UYU.

For Commercial Owners, the daily rental price includes unlimited mileage. Fuel charges must not exceed the average cost per country for a maximum of 50 liters.

In all cases, the Owner or Commercial Owner must charge the Driver for fuel shortages or excess mileage at the time of delivery, providing the corresponding receipt. Discrepancies must be handled per clause 19 (Delivery and Return of the Vehicle) and may involve TripWip mediation.

If by exception the Host does not deliver the vehicle with a full tank, the Driver will not be required to return it with a full tank, but in the same condition as received. In this case, no fuel shortage charges will apply.

7. Vehicle Coverage During Rentals

Vehicles published on TripWip have valid insurance coverage during rentals, according to the contracted policy.

Included Coverages:

• Civil Liability (Mandatory Motor Insurance – Law 18.412).

• Civil Liability for injuries and/or death of non-transported third parties.

• Civil Liability for injuries and/or death of transported third parties.

• Civil Liability for damage to non-transported third-party property.

• Partial and total fire.

• Partial and total theft.

• Partial damage due to accident.

• Total damage.

Additional Coverages:

• Legal assistance.

• Rapid Intervention Team (EIR).

• Original spare parts (vehicles up to 5 years old, at an official workshop).

• Hail coverage with no limit or deductible.

Compensation Limits:

• Civil Liability: up to USD 500,000.

• Hull Coverage: market value of the vehicle, with a maximum of USD 30,000.

TripWip acts as an intermediary platform and not as an insurer. The coverages, conditions, exclusions, and deductibles applicable will be those established in the policy in force at the time of the incident.

8. Commissions Applicable to Hosts – Uruguay

Publishing vehicles on the Platform is free. TripWip charges a commission for each vehicle rental contract made through the Platform, for intermediation services, use of technology, operational support, and platform management.

Commission Rates (daily rental price):

• $800 – $1,200: 20%

• $1,201 – $1,500: 22%

• $1,501 – $2,000: 23%

• $2,001 – $3,000: 24%

• $3,001 – $40,000: 26%

The applicable commission will be automatically deducted from the total rental amount, or charged by the means TripWip provides according to the operational modality in force at the time of the reservation.

TripWip reserves the right to modify commission percentages, informing Owners or Commercial Owners in advance through the Platform, email, or other enabled communication means. Continued use of the Platform after notification implies acceptance of the new conditions.

9. Vehicle Conditions – Legal Status and Absence of Liens

The Owner or Commercial Owner declares and guarantees that the vehicle published on the Platform is in full and regular legal status, free of liens, pledges, inhibitions, seizures, sales reports, precautionary measures, tax, municipal, judicial, administrative, or any other debts that affect or may affect the free availability, circulation, use, return, or insurability of the vehicle.

The Owner also declares that the vehicle has no enforceable debts (including, without limitation, traffic fines, registration, taxes, fees, contributions, pledged or judicial credits) that may generate legal or contractual restrictions.

The Owner expressly acknowledges and accepts that the existence of any of the aforementioned situations may affect, limit, or exclude total or partial insurance coverage, without generating any liability for TripWip or the insurance company.

9.1 – Special Conditions for Vehicles Exceptionally Approved with More Than 10 Years of Age

For vehicles older than 10 years that TripWip decides to exceptionally approve for listing on the Platform, the Owner/Host expressly agrees to the following conditions as a requirement for such approval:

1. Limitation of Mechanical Liability. TripWip shall not be liable, under any circumstances, for mechanical, electrical, or operational failures of the vehicle, whether pre-existing, subsequent, or resulting from use during rental periods.

2. Exclusion of Coverage. The Owner acknowledges and agrees that any damage, defect, or breakdown related to the engine, transmission, or other mechanical components will not be covered by the Platform or by any coverage offered through it, and the Owner shall bear all associated costs in full.

3. Owner's Responsibility. The Owner declares that the vehicle is in roadworthy condition and assumes full responsibility for its maintenance, operation, and any potential failures during rental periods.

4. Express Waiver of Claims. The Owner expressly waives any right to file claims against TripWip arising from mechanical failures of the vehicle, including loss of earnings, indirect damages, or any other losses related to such failures.

5. Right to Immediate Removal. TripWip reserves the right to immediately delist the vehicle upon any incident or indication of risk associated with its operation, without this giving rise to any right to compensation on the part of the Owner.

By accepting these Terms and Conditions, the Owner expressly agrees to the conditions set forth in this section for any vehicles that fall within its scope.

10. Guarantee

At the time of reserving a vehicle, TripWip may place a hold on the Driver's credit or debit card on behalf of the Owner or Commercial Owner for an amount between USD 300 and USD 800 as a guarantee. The hold will be effective on the day of the initial vehicle delivery and will be released between five and ten business days after return, provided no incidents, damages, fines, tolls, fuel shortages, or mileage limit violations are reported by the Owner or Commercial Owner within that period.

Both parties will have intervention over the use of the retained guarantee/deposit according to the criteria for charging the Driver for charges generated by the use of the vehicle, such as fines, tolls, damages, and deductibles, among others.

11. Insurance and Damage to the Vehicle or Third Parties

The rental through the Platform is subject to the prior contracting of a motor insurance policy contracted by TripWip on behalf of the Owner. TripWip is not an insurance company and does not insure Owners or Drivers; the Owner is the insured by the policy provider.

The Insurance coverage is intended to protect Owners from damages caused to their vehicle or to third parties within the national territory, except in cases of exclusion according to the Insurance policy.

The Driver must respond to the Owner for all damages suffered to the vehicle or to third parties during the rental period that are not covered by the Insurance policy.

The Driver declares to be solely civilly or criminally liable and will hold TripWip and the Owner harmless for any damages or penalties arising from their acts or omissions while using the vehicle, including those resulting from consumption of alcohol, drugs, medications, or other substances affecting driving ability, traffic violations, or any other wrongful or negligent action not covered by the Insurance policy.

If damages are covered by the Insurance, the Driver must assume all costs associated with the deductible or other costs related to activating the Insurance, which amount to USD 800 for Sancor Seguros protection in Uruguay. These may be deducted from the Guarantee or billed per clause 22 (Mediation in Conflicts).

The Driver must always report damages to the Insurance company and report any incident to the Platform. If the Owner identifies damages not reported by the Driver, they will have 24 hours from the end of the rental to report them to the Platform.

For Commercial Owners, rentals are subject to the Insurance policy that the Commercial Owner has contracted, without TripWip acting on their behalf. Additional conditions may be required from the Driver, including:

Identity and Background Verification: The Commercial Owner may request additional documentation to verify the Driver's identity and background.

Compliance with Safety Regulations: The Driver must comply with all safety regulations established by the Commercial Owner.

Preventive Maintenance and Periodic Inspections: The Commercial Owner may require adherence to a maintenance schedule.

Incident Reports: Any incident, accident, or damage must be reported immediately to the Commercial Owner.

Exclusive Use by Authorized Driver: The vehicle may only be used by the person authorized in the rental contract.

Usage Restrictions: The Commercial Owner may establish specific restrictions on vehicle use, such as geographical limits or restrictions in high-risk activities.

Failure to comply with these additional conditions may result in immediate termination of the rental contract and the Driver's liability for any resulting damage or loss.

In the event of material damage or theft, the Driver must immediately notify the competent police authority, as well as the Owner and TripWip, and cooperate with all investigations.

Repairs: Resolutions issued by workshops associated with TripWip will be considered objective and impartial. Such resolutions will be assumed as the most accurate, fair, and responsible solution, ensuring repair quality and transparency throughout the process.

Management Fee: For each reported incident, a service fee will be applied as follows:

• Damages under 5,000 UYU: 25 USD.

• Damages between 5,000 and 10,000 UYU: 40 USD.

• Damages between 10,000 and 40,000 UYU: 50 USD.

The amounts above are standard reference values. TripWip reserves the right to modify or apply a different service fee when the nature of the incident, its complexity, or associated costs so require, determined on a case-by-case basis. This fee will be charged to the Driver and covers the administrative and operational costs of managing the incident.

Compensation for Lost Profits: In the event of an incident affecting vehicle availability, TripWip is not responsible for economic compensation arising from loss of income from unfulfilled rentals or for providing a substitute vehicle.

Types of Insurance: The Driver is responsible for paying the deductible in the event of an incident. The following insurance plans are available on the Platform:

Basic

  • Third-Party Liability: Coverage for damage caused to third parties.

  • Damage Protection: Covers damage to the rented vehicle.

  • Full or Partial Theft Protection: Coverage in the event of theft of the vehicle or any of its parts.

Gold

  • Third-Party Liability: Coverage for damage caused to third parties.

  • Damage Protection: Covers damage to the rented vehicle.

  • Theft Protection: Coverage if the vehicle is stolen.

  • Passenger Medical Expenses: Coverage up to USD 1,000.

  • Vehicle Light Damage Protection.

  • Coverage in case the vehicle keys are lost.

Platinum

  • Third-Party Liability: Coverage for damage caused to third parties.

  • Damage Protection: Covers damage to the rented vehicle.

  • Theft Protection: Coverage for full or partial theft.

  • Passenger Medical Expenses: Coverage up to USD 1,000.

  • Windshield, Glass, Lights, and Tire Protection.

  • Free Cancellation: You can cancel your reservation free of charge up to 48 hours before the rental starts.

11.1 – Vehicle Conditions for Rental

By accepting these Terms and Conditions, the Owner declares and guarantees that the vehicle offered for rental meets the following conditions:

General Condition: The vehicle is in perfect mechanical and structural condition, suitable for safe driving by a third party, without presenting any risks.

Originality of Parts: All parts are original or manufacturer-approved equivalents, including braking systems, suspension, tires, and any other critical safety components.

Maintenance: The vehicle has received adequate maintenance according to manufacturer recommendations and presents no known defects at the time of listing.

Mandatory Inspection for Vehicles Over 10 Years Old or 150,000 km: Vehicles exceeding 10 years of age or 150,000 km must undergo a technical inspection at the official TripWip workshop, at the Owner's expense. This inspection is not an exclusive requirement for platform approval, but is mandatory for TripWip to manage payment in the event of a mechanical failure, per clause 12 (Mechanical Failures).

Scope of Inspection: The inspection will cover the main vehicle systems, including engine, brakes, suspension, steering, and tires. TripWip will issue a report that the Owner must consider to make necessary repairs before continuing to offer the vehicle.

Disclaimer of Liability: TripWip will not be responsible for, nor manage the collection from the Driver for, mechanical failures during a rental in the case of vehicles over 10 years old or 150,000 km that have not undergone the TripWip official workshop inspection. The Owner understands and accepts that, in the absence of this inspection, any mechanical failure will be assumed exclusively by the Owner, per clause 9.1.

12. Mechanical Failures

To protect the interests of hosts and drivers, TripWip establishes the following protocol in cases of mechanical failures:

1. Initial Assessment and Security Deposit Retention. If the Host suspects a mechanical failure was caused by improper use by the Driver, they can request a mechanical assessment at the official TripWip workshop. At the time of reporting, an amount of up to 800 USD may be withheld from the Driver as a guarantee during the evaluation. The Host has 7 days from the vehicle's return to carry out the assessment and report findings to TripWip.

Additionally, once TripWip notifies the Host of the workshop's availability for the mechanical assessment, the Host will have 15 business days to attend. If the Host fails to arrange the assessment within that period, TripWip may release the retention applied to the Driver, and the Host shall forfeit any right to claim the costs associated with said failure.

2. Coordination and Assumption of Transportation Costs. If the vehicle requires transportation to the workshop, the Host will initially assume the transportation costs. If the assessment determines that the failure was caused by improper use by the Driver, the Host may recover these costs from the amount withheld. If the failure is the result of normal vehicle wear or Host negligence (such as lack of maintenance), the Host must bear all costs.

3. Roadside Assistance: See clause 13 (Mechanical Assistance).

4. Collection Management Guarantee. TripWip will manage the collection of repair costs from the Driver as long as the vehicle meets TripWip's requirements (see section "Vehicle Requirements").

5. Counter-Assessment by the Driver. The Driver has the right to request a counter-assessment to dispute the initial assessment. If the counter-assessment determines the failure was not caused by the Driver, they will recover the withheld amount.

6. Dispute Resolution. In case of discrepancies between assessments, TripWip may designate an independent workshop or expert to issue a final ruling. TripWip's decisions will be final and binding for both parties.

7. Repairs Arranged by the Host. If the host decides to take the vehicle to a repair shop of their choice, other than the official repair shop designated by TripWip, or to arrange the repair independently without following the established inspection procedure, the host will be responsible for all costs associated with that decision, including transportation, diagnosis, and vehicle repair expenses. In such cases, these costs may not be charged to or claimed from the driver.

13. Mechanical Assistance

In case of mechanical failures during a rental, the Driver should first contact the Host to use their private assistance service, if available. Otherwise, they should contact Auxicar by calling 2618 0000 – Option 1, mentioning that the vehicle is rented through TripWip. Auxicar will verify the active rental through the vehicle's license plate and, if necessary, will proceed with assistance or transportation. The cost will initially be covered by TripWip, and responsibility (Driver or Host) will be determined based on the primary diagnosis. The diagnosis will only cover obvious failures, such as battery discharge due to lights left on. A more detailed mechanical evaluation must be conducted at an authorized workshop.

Applicable Rates:

• Assistance or transportation in the Metropolitan Area: $1,650 + VAT

• Assistance or transportation in the Interior: $1,950 + VAT

• Extra kilometer: $89 + VAT (Assistance radius: 20 km)

TripWip acts impartially when evaluating each case and will ensure the correct allocation of costs according to the diagnosis.

14. Vehicle Use Conditions

The Driver agrees to:

• Not allow unauthorized third parties to drive the vehicle.

• Respect traffic laws and road safety regulations.

• Not use the vehicle for commercial purposes not authorized by the Owner.

• Not participate in competitions, races, or any activity involving extreme vehicle use.

• Not transport illegal or dangerous substances.

Cases of Improper Vehicle Use:

• Ignoring dashboard warnings: Failing to act on visible signs of problems can worsen mechanical failures.

• Sudden accelerations or aggressive driving: Causes unnecessary vehicle wear.

• Overloading the vehicle: Carrying more passengers or cargo than allowed can cause structural or mechanical damage.

• Not following the Owner's or Platform's recommendations (e.g., checking fluid levels).

• Using incorrect or low-quality fuel: Can negatively affect engine performance.

• Returning the vehicle in poor condition (insufficient fuel, extreme dirt).

• Not reporting mechanical failures in a timely manner: Ignoring problems can aggravate avoidable damage.

The Owner or Commercial Owner is responsible for keeping the vehicle in safe and operational condition. The Driver must notify the Owner and TripWip of any mechanical problems or maintenance needs arising during the rental. The Driver may not make repairs on their own without prior authorization.

15. Tolls and Fines

Drivers are responsible for the costs of tolls and any fines incurred for violating traffic regulations during the rental period.

All vehicles listed on the Platform must have an activated toll pass. At the time of vehicle delivery, the Owner or Commercial Owner will agree with the Driver on the amount to be charged on the toll platform, and the Driver will pay it directly.

If during the rental period the vehicle incurs traffic fines or unagreed toll debts, the Driver must take responsibility and pay directly to the Owner or Commercial Owner, demanding the corresponding receipts. If not, the Owner or Commercial Owner may report the fine to the Platform, and upon verification, TripWip will generate the charge directly to the Driver's payment method.

The Owner or Commercial Owner has up to 2 months from the fine's publication in SUCIVE to report it to the Platform. Once the Driver is informed of the corresponding debt, they must settle it immediately, and the Platform will have 20 business days to pay the Owner or Commercial Owner.

The Driver accepts that the Guarantee and any charges ordered are made on behalf of the Owner or Commercial Owner. In case of disagreement, the Driver must claim directly from the Owner or Commercial Owner, without prejudice to any mediation TripWip may exercise.

16. Reservation Procedure

The Driver wishing to reserve a vehicle must select it using the following filters: area, vehicle type, delivery mode, return mode, and rental dates. TripWip will display available vehicles with total prices. The Driver will choose the vehicle, make the reservation, and pay a fraction of the total rental amount through Stripe. TripWip will send a request to the Owner or Commercial Owner, who must accept or reject within up to 8 hours. The Driver may make multiple reservations but must cancel pending ones after one is confirmed. After acceptance, TripWip will issue the collection order and corresponding Guarantee on behalf of the Owner or Commercial Owner, and put both parties in contact to coordinate payment of the remaining balance.

17. Payment Method

Upon confirmation, the Driver will receive a notification to approve payment of the remaining rental amount through Stripe, making the reservation effective.

The Driver agrees that their payment method will be stored and tokenized by Stripe, ensuring complete confidentiality. TripWip may use this storage to charge on behalf of Owners as outlined in clauses 6, 8, and 9.

The Platform reserves the right to select which types of cards are enabled as payment methods, at its sole discretion.

TripWip is not responsible for additional charges arising from currency conversion through the Stripe payment platform.

18. Cancellation of a Reservation

The Driver may cancel a reservation up to 48 hours before the start of the rental. TripWip will instruct Stripe to process the refund, deducting any chargebacks and costs charged by the payment method (Stripe), which will be borne by the Driver.

Any rental canceled with less than 48 hours' notice, or during its execution, will not generate any refund from Stripe, TripWip, or the Owner or Commercial Owner.

However, if the cancellation is made within 15 minutes of rental confirmation, TripWip may, at its sole discretion and as an exception, grant a full refund to the Driver if it considers there are reasonable grounds (such as a booking error, immediate booking of another rental, or urgent situations). In these cases, no compensation will be due to the Host.

The Host may request compensation equivalent to 50% of the total reservation amount for cancellations made within 48 hours of the rental start, provided the claim is made within 48 hours of the cancellation. After this period, the right to request compensation is lost.

In the event that the Owner or Commercial Owner fails to deliver the vehicle in the agreed conditions for any reason not attributable to the Driver, the Driver may choose to: (i) accept, subject to availability, another vehicle on the platform with similar characteristics, without TripWip guaranteeing the existence of a replacement or assuming additional costs or price differences; or (ii) request a refund of the money paid for the rental, including the reservation.

Refunds will be made to the Driver's payment method on the Platform. Once processed from Stripe, the amount may take between 5 and 10 days to reflect on the user's account statement.

19. Delivery and Return of the Vehicle

Owners, Commercial Owners, and Drivers will coordinate among themselves the points of delivery and return of the vehicle. Upon delivery, the Driver must make the payment of the outstanding rental amount. The Owner or Commercial Owner will provide the Driver with the vehicle along with a set of keys and all necessary documentation and items for circulation (copy or original of the ownership booklet, copy of the SOA insurance policy, first aid kit, regulatory beacon, spare wheel, jack, and fire extinguisher – triclass, one kilogram, powder type – and IRAM-certified beacons), all of which must be returned along with the vehicle at the end of the rental.

At the start, under the supervision of the Owner or Commercial Owner, the Driver must take the following photos through the Platform: front, rear, right side, left side, front interior, rear interior, mileage on the dashboard, and fuel level on the dashboard. Failure to take the corresponding photographs may affect the Driver in case of disputes about the vehicle's condition at the end of the rental.

Upon return, the Owner must inspect the vehicle and notify TripWip within 24 hours if any missing equipment or damages are found, through the means provided on the platform. The Owner or Commercial Owner also has 24 hours to take the same set of photos. Failure to take photos within this period makes the Owner responsible for any missing items, defects, or damages, and they will not be able to claim against the Driver or TripWip.

20. Interruption of the Rental

Only the Driver may interrupt the rental during the contract period for personal reasons, which will not generate the right to any refund of the price, chargebacks, or any other associated costs from Stripe, TripWip, or the Owner or Commercial Owner. The Driver must contact the Owner or Commercial Owner to coordinate the early return of the vehicle per clause 19 (Delivery and Return of the Vehicle).

Notwithstanding the above, when the interruption is due to the Owner's breach of conditions or impossibility of using the vehicle for the purposes specified in the offer (including causes not attributable to the Driver), the cancellation provisions of clause 18 will apply.

21. Reporting Damages or Incidents

Any incident during the rental period must be reported immediately – before taking any action – to the Owner or Commercial Owner, to TripWip through the Platform's official channels, and to the corresponding insurer. In Uruguay: Sancor Seguros at 0800 8500. This applies to any incident affecting the vehicle's integrity, regardless of its magnitude.

If third parties are involved, the Driver must ensure that those third parties file the corresponding reports to their own insurance, to properly manage coverage and enable the waiver of the deductible payment, if applicable.

TripWip works with the insurer and workshops to repair the vehicle in a timely manner, although it does not guarantee specific repair timelines. Repair time may depend on external factors such as availability of spare parts.

In the event of damage, loss, or need to replace a part during a rental, compensation may be calculated based on the replacement value of that part in the condition it was in before the incident. This may result in partial compensation when the part shows wear from use, and the value of a new part will not necessarily be taken as reference.

Recommended Workshop Policy (cases below the deductible): In incidents where the repair cost does not exceed the insurance deductible, TripWip recommends carrying out the repair at Taller Labruna, due to its quality, efficiency, and preferential conditions for platform hosts. If the Host chooses Taller Labruna, TripWip may cover 100% of the quoted cost. If the Host opts for another workshop, TripWip may compensate up to 75% of the value originally quoted by Taller Labruna, subject to verification of the damages and compliance with established processes. In incidents that exceed the deductible, the Host may freely choose among the workshops included in the official Sancor Seguros network.

Deadlines for Repair Management by the Host:

Once the incident has been reported and TripWip has reviewed the photographs, the Platform will notify the Host of the workshop's availability and provide the necessary information and context to coordinate the estimate. From the date of that notification, the Host will have 15 business days to attend the workshop indicated by TripWip and obtain the corresponding repair estimate.

If the Host fails to attend the workshop within that period, TripWip will proceed as follows:

• A preliminary estimate prepared by TripWip based on the available photographs and incident information will be used as reference, which may be lower than the actual repair cost.

• Said preliminary estimate will be the sole amount used to determine the charge to the Driver and any potential application of the Security Deposit.

• The Host may not claim any difference between the preliminary estimate and the actual repair cost once the deadline has passed, and expressly waives any additional claim on that basis.

• If the preliminary estimate is lower than the amount retained as a Security Deposit, the difference will be refunded to the Driver within the timeframes established by the Platform.

TripWip shall not be liable for any economic differences arising from the Host's failure to attend the workshop within the established deadline.

22. Mediation in Conflicts and Application of the Guarantee

In the event of missing equipment or damages to the vehicle during the rental or at the time of delivery, the Owner or Commercial Owner may order the application of the Guarantee or charge the damages to the card stored by Stripe within up to 96 business hours after the incident or after the rental has ended. In such case, the Driver agrees that TripWip will not be able to return the Guarantee. However, TripWip will mediate between both parties to seek an agreed solution. The Driver accepts this form of mediation and acknowledges that TripWip's definitions, accepted by the Owner or Commercial Owner, will be considered valid to resolve the conflict.

The Driver accepts and acknowledges that the Guarantee does not constitute a cap or limit on compensable damages and may not be sufficient to cover all damages incurred.

The Driver must respond to the Owner or Commercial Owner for all damages not covered by the Insurance policy. If damages are covered by Insurance, the Driver must assume all costs associated with the deductible or other costs related to activating the Insurance, which may be deducted from the Guarantee or billed to the Driver's card.

Requirements for mediation, insurance activation, and third-party liability cases:

For TripWip to mediate with Sancor Seguros and manage the corresponding collection, the following are mandatory requirements:

• The Driver and the Owner must file the relevant report with Sancor Seguros.

• The incident must be reported through the TripWip application.

In cases where a third party is responsible, the Driver must collect the following information from the involved third party:

• Full name of the third party.

• Contact number.

• License plate of the third party's vehicle.

• Other information requested by the insurer.

The lack of this information may prevent the Driver from being exempted from the deductible cost. Without this information, the retained Guarantee cannot be returned until the final resolution of the process.

TripWip may transfer the corresponding charge to the Owner only if: it has the report filed with Sancor Seguros, and it has a repair quote from the TripWip-recommended workshop or an official Sancor network workshop.

23. Claims, Charges, and Penalties

The parties may generate a claim for the following reasons:

1. Traffic accident. 2. Partial or minor vehicle damages. 3. Fines. 4. Tolls. 5. Vehicle cleaning. 6. Excess mileage (max. 300 km). 7. Misconduct (not responding, not meeting conditions, etc.). 8. Problem with delivery/return schedule. 9. Returns due to cancellation. 10. Claims regarding app functionality.

Applicable charges and penalties:

1. Fines: Value of the fine + administrative fee of 25 USD, charged to the Driver.

2. Tolls: Value of the tolls + administrative fee of 5 USD, charged to the Driver.

3. Vehicle Cleaning: 10–25 USD depending on vehicle condition, charged to the Driver. 100% goes to the Host.

4. Excess Mileage: $5 UYU per extra km, charged to the Driver. From the total payment to the Host, 7 USD will be deducted as a claim management fee.

5. Misconduct: The user's account (Driver or Host) may be terminated after an evaluation.

6. Delays in Delivery/Return: 10 USD per hour of delay, split as 5 USD for the affected party (Driver or Host) and 5 USD for TripWip.

7. No Show: The total reservation amount will be charged to the Driver, with no refund. The Host may request 50% of this amount as compensation, if the claim is made within 24 hours of the rental start.

8. Cancellations: If the Driver cancels within 48 hours prior to the rental start, the total reservation amount will be charged with no right to a refund. The Host may request 50% compensation within 48 hours of the cancellation. After this period, the right to request compensation is lost. However, if the cancellation is made within 15 minutes of rental confirmation, TripWip may, at its sole discretion, grant a full refund to the Driver if there are reasonable grounds. In these cases, no compensation is due to the Host.

9. Improper Use or Misappropriation of the Vehicle: Misappropriation of the vehicle is considered any situation in which the Driver keeps the vehicle beyond the rental period without the Host's express and documented authorization, refuses to return it despite explicit requests from the Host or TripWip, makes modifications, moves it outside permitted areas, or uses it in unauthorized ways. In these cases, TripWip reserves the right to apply additional penalties beyond those established for delays, as well as suspend or cancel the Driver's account and take appropriate legal action. Furthermore, when TripWip fails to collect amounts associated with unauthorized use, the platform may compensate the Host for the equivalent of the daily rental value for each additional day of unauthorized use, up to a maximum of 2 days, provided the Host has not contributed to the situation.

Deadline to Report and Access Coverage: In order to access the coverage and compensation provided for in this section, the Host must report the case of improper use or misappropriation to TripWip through the Platform's official channels within 24 hours of the end of the rental period. Once this deadline has passed without the Host having submitted the corresponding report, TripWip shall not be obligated to handle the case or apply compensation or penalties, and the Host shall forfeit any right to claim coverage in connection with that incident.

Under no circumstances will a rental extension be considered valid if it was not processed through the Platform or confirmed in writing through TripWip's official channels. Agreements made outside the app, even if verbal or informal, will not be valid for claims.

All mentioned charges may be evaluated and modified according to the magnitude of the claim and the damages incurred.

24. Ratings

Once the rental is completed, the Driver will have the opportunity to rate the Owner or Commercial Owner. This rating will be part of the Owner or Commercial Owner's profile and will serve as a guide for future Drivers.

The Driver also accepts that upon completion of a rental, the Owner or Commercial Owner will have the opportunity to rate them, which will serve as a reference for other Owners or Commercial Owners when considering future rentals.

TripWip reserves the right to edit and/or delete comments deemed inappropriate or offensive, and to exclude or sanction Drivers or Owners or Commercial Owners who are subject to repeated negative comments.

25. Referral Program

The TripWip referral program allows Drivers and Hosts to earn benefits by inviting new users to the platform. The conditions apply exclusively within Uruguay.

If you are a Driver and refer:

• Another Driver: the referred user receives an $800 discount coupon for their first rental of at least 2 days. Once completed, the referring Driver also receives an $800 discount coupon.

• A Host: if the referred Host completes their first rental for a minimum of 3 days, the referring Driver receives a $1,200 discount coupon for a rental of at least 3 days.

If you are a Host and refer:

• A new Driver: users who rent through the Host's link receive an $800 discount coupon on their first rental of at least 2 days. This benefit does not affect the Host's earnings.

• Another Host: the referring Host receives $1,500 for each vehicle that completes its first rental of at least 3 days on the platform.

General Conditions:

• Rewards are activated only once the referred user meets the indicated conditions of the first rental.

• Discount coupons are personal, non-transferable, and cannot be combined with other promotions, unless TripWip indicates otherwise.

• Rewards are not redeemable for cash.

• TripWip reserves the right to modify, suspend, or cancel the referral program at any time without prior notice, and to cancel rewards if improper or fraudulent use is detected.

The program applies exclusively within Uruguay and will remain in effect until further notice.

26. Security and Data Protection

TripWip uses technology to protect the information provided by Drivers. Personal Data registered on the Platform will not be transferred to third parties without prior user authorization, and will be processed exclusively by TripWip, except for access that may be necessary for the rental (to the Owner or Commercial Owner), for the provision of Insurance, or to manage payments and refunds (to Stripe). TripWip will implement reasonable technical, physical, organizational, and legal measures to preserve the security of personal data, which can be consulted in our Privacy Policies.

TripWip will assume the responsibilities corresponding to it under applicable Personal Data protection legislation, based on the following principles: (i) Personal Data delivered to the subjects mentioned above will be the exclusive property of TripWip; (ii) the delivery of Personal Data by TripWip, by any means, will not be considered a data communication, but simple access to such data as a necessary element for the provision of Services.

27. Tax Obligations

Vehicle owners who agree to these Terms and Conditions will be subject to tax obligations for income obtained through rental contracts. TripWip requests that they comply with their corresponding tax responsibilities.

28. Limitation of Liability

TripWip is not a party to the rental contract between the Owner or Commercial Owner and the Driver and is not responsible for the publication of the vehicle, nor for the perfection or execution of said contract. The Driver agrees that all acts performed by TripWip in relation to the rental in accordance with these GTC (including: contracting the Insurance, withholding the Guarantee, collections for claims, fines, tolls, fuel shortages, or mileage limit violations) will be carried out on behalf of the Owner, who is the sole responsible party to whom claims may be directed in case of disagreement.

TripWip will not be responsible for the fulfillment or control of the obligations assumed by Owners (or Commercial Owners) and Drivers. Each Owner (or Commercial Owner) is solely responsible for managing all permits or authorizations required by national and/or departmental authorities to offer their vehicle for rent, as well as any other legal, regulatory, or contractual obligation related to the use of their vehicle.

Assignment of Management: The vehicle owner registered on TripWip acknowledges and accepts that, in case of delegating the management of their vehicle(s) to a third party, such assignment is their exclusive responsibility. TripWip is exempt from any responsibility arising from errors, breaches, conflicts, or damages caused by acts or omissions of the administrator designated by the owner. The owner must ensure the administrator acts in accordance with the platform's Terms and Conditions and will be jointly responsible for any obligation or damage arising from that relationship.

TripWip will not be responsible for any aspect related to vehicles or rentals, including but not limited to the existence, quality, quantity, condition, integrity, or legitimacy of vehicles offered by Owners, the capacity to contract of Owners and Drivers, or the truthfulness of personal data provided by them.

The Driver accepts and acknowledges that software and hardware are subject to failures. They also accept that no anti-fraud or encryption systems can be fully secured. Consequently, they assume full responsibility for adopting the usual preventive measures in the activity to avoid damage caused by Platform failures.

The Driver accepts and acknowledges that restrictions or interruptions of the Services and access to the Platform may occur as a result of failures, updates, or improvements, and these will not generate any right to compensation or reduction of amounts owed to TripWip.

29. Modification of the Terms and Conditions

Drivers and Owners are aware that TripWip may modify these Terms and Conditions at any time without the need to individually notify Drivers and Owners. The current version will be available on the Platform, and it is the obligation of Drivers and Owners to review it periodically. The use of the Platform implies acceptance of the Terms and Conditions in effect at the time of use.

30. Termination

These Terms and Conditions will be understood as accepted at the moment the Owner or Commercial Owner begins to use the Platform and will remain in effect until the account is canceled or deactivated. TripWip reserves the right to deactivate the GTC, modify them at any time, and/or deactivate or temporarily suspend the Platform, without generating any claim or compensation in favor of the Owner.

31. Dispute Resolution

In the event of any dispute between the Parties, jurisdiction is established in the Courts of the Department of Montevideo, and the conflict is subject to the laws of the Oriental Republic of Uruguay.
